Skadden's Pro Bono team is seeking to hire a Nonprofit and Small Business Pro Bono Attorney/Counsel. This hire will serve as a dedicated legal resource providing transactional and advisory legal services to nonprofit organizations and small businesses on a pro bono basis. The attorney will handle a range of corporate, governance, tax-exempt, and regulatory matters to support the operational and strategic needs of these entities.

The position will include fluid and flexible collaboration with the global pro bono team and will involve administrative and mentoring responsibilities as well and direct legal representation.  The candidate should expect to be a part of a global team that operates with shared responsibilities, overlapping coverage, and to be accountable for direct leadership expectations.

Experience with veterans, small business legal services, and the U.S. Small Business Administration will be preferred.

Key Responsibilities

Nonprofit and Small Business Pro Bono Services:

• Provide pro bono legal counsel to nonprofit organizations on formation, governance, corporate compliance, contracts, employment issues, and tax-exempt status matters.
• Advise small businesses on entity selection and formation, contract drafting and review, regulatory compliance, and day-to-day operational legal questions.
• Develop and maintain relationships with nonprofit and small business clients, legal aid organizations, and community partners.
• Coordinate with firm attorneys to staff and manage pro bono matters in the nonprofit and small business practice areas.

Veterans Enterprise Initiative (VEI) Supervision:

• Coordinate the development and day-to-day operations of the Veterans Enterprise Initiative.
• Design and implement program structures, intake processes, and service delivery models for VEI.
• Recruit, train, and supervise volunteer attorneys and mentors participating in the VEI.
• Provide direct legal services to veteran entrepreneurs and veteran-led small businesses, including assistance with business formation, contracts, licensing, government contracting, and regulatory compliance.
• Build partnerships with veterans’ service organizations, government agencies (e.g., SBA, VA), and other stakeholders to expand program reach and resources.
• Track program metrics, prepare reports, and present on VEI outcomes to firm leadership and external partners.

The ideal candidate will possess the following experience and qualifications:

• J.D. from an accredited law school and active bar membership in good standing.
• 5+ years of experience in corporate/transactional law, nonprofit law, or small business advisory work.
• Demonstrated knowledge of nonprofit formation, governance, tax-exempt status (501(c)(3) and related designations), and regulatory compliance.
• Experience advising small businesses on entity formation, contracts, employment matters, intellectual property basics, and general operational legal issues.
• Familiarity with issues facing veteran-owned businesses, including access to federal and state contracting opportunities, SBA programs, and veteran-specific grants or certifications.
• Experience with pro bono program development, management, and supervision of legal projects or clinics is strongly preferred.
• Strong interpersonal skills and ability to work with diverse client populations, including veterans, nonprofit leaders, and community stakeholders.
• Commitment to pro bono service and public interest law.
